+ RAW camera support
+ Smoother Interface
+ Text on path
There's a ton more, but those are the ones that stand out to me. I think it's worth the upgrade.

I have my photoshop 4 cd...and i still have my 5 cd also. I'm pretty sure i could get a copy of original photoshop for free (cd and box) from my aunt. She works for university of miami and all of them get photoshop..so i'm a version behind since she gives me her old cd.
I think if you get a serial for Trial version of CS2, it makes it a full version, not real sure tho..
How you get the serial is up to you, not suggesting something illegal =\
